These Terms & Conditions ("Terms") govern your access to and use of CleverData websites, products, software, and services (collectively, the "Services") provided by CleverData ("CleverData", "we", "us", or "our"). By accessing or using the Services, you agree to these Terms.

1. Definitions

  • Customer: the organization or person purchasing or using the Services.
  • Subscription: the paid plan that enables access to selected modules/features for a term.
  • Customer Data: data uploaded, entered, or integrated by Customer or on Customer’s behalf.
  • Order Form: any commercial document or email confirmation describing scope, pricing, and term.

2. Scope of Services

CleverData offers modular SaaS capabilities such as dashboards, portals, workflow tracking, and optional analytics/AI insight layers. The exact scope, environments, integrations, and deliverables are defined in an Order Form or proposal.

3. Eligibility and Account Responsibilities

  • You must provide accurate registration and business details and keep them updated.
  • You are responsible for maintaining the confidentiality of credentials and for activity under your account.
  • You will ensure only authorized users access the Services and comply with your internal policies.

4. Acceptable Use

You agree not to:

  • Use the Services for unlawful, harmful, or fraudulent purposes.
  • Attempt to gain unauthorized access to systems, data, or accounts.
  • Reverse engineer, copy, or resell the Services except as permitted in writing.
  • Upload content that infringes intellectual property rights or violates privacy laws.

5. Customer Data and Ownership

  • Customer retains ownership of Customer Data.
  • Customer grants CleverData a limited right to process Customer Data only to provide and improve the Services, fulfill support requests, and meet legal obligations.
  • Customer is responsible for the legality, quality, and accuracy of Customer Data, including obtaining required consents.

6. Security and Confidentiality

We implement reasonable administrative, technical, and organizational measures intended to protect Customer Data. Customer agrees to maintain appropriate security controls, including user access management. Either party may be required to sign additional confidentiality obligations as part of a commercial engagement.

7. Subscription, Fees, and Payment

  • Fees and payment terms are defined in the Order Form/proposal/invoice.
  • Unless stated otherwise, fees are non-refundable once the subscription term begins.
  • Late payments may result in suspension of access until dues are cleared.

8. Implementation and Support

Implementation timelines depend on agreed scope, data availability, and customer collaboration. Support channels and SLAs, if any, will be specified in the Order Form. Customer will provide timely access to stakeholders, sample data, and environment details required for implementation.

9. Intellectual Property

CleverData retains all rights to the platform, source code, templates, and related materials, except for Customer Data. Any custom deliverables may be licensed or transferred as per written agreement.

10. Third-Party Services

The Services may interoperate with third-party systems (e.g., ERP/Tally, email providers, cloud hosting). Your use of third-party services is subject to their terms. CleverData is not responsible for third-party outages or changes.

11. Warranty Disclaimer

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, CleverData disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, CleverData shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. In any event, CleverData’s total liability for any claim related to the Services will not exceed the fees paid by Customer to CleverData for the affected Services during the three (3) months preceding the event giving rise to the claim.

13. Termination

  • Either party may terminate for material breach if not cured within a reasonable notice period.
  • Upon termination, access may be disabled and Customer should export required data (where applicable).

14. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date.

15. Governing Law

These Terms are governed by the laws of India. Courts having jurisdiction in Kerala, India, shall have exclusive jurisdiction, subject to any mandatory applicable law.
